1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of VelvetElite ("the Platform", "we", "us", or "our"), a discovery marketplace platform operated under the laws of England and Wales. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

VelvetElite is an online discovery platform that enables adult users ("Members") to discover and connect with independent content creators ("Creators") who offer online entertainment services. The Platform serves solely as a discovery and communication facilitation tool and does not provide, endorse, or facilitate any offline or in-person services.

If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility and Age Verification

2.1 Age Requirement: You must be at least 18 years of age to access or use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2.2 Age Verification: We implement age verification measures in compliance with the UK Online Safety Act 2023. We reserve the right to request additional age verification documentation at any time and may suspend or terminate accounts where age cannot be satisfactorily verified.

2.3 Creator Identity Verification: All Creators must complete identity verification through our provider AgeVerif before their profiles become publicly visible. This includes government-issued identification and liveliness verification to prevent fraud and ensure authenticity.

2.4 Zero Tolerance for Minors: We maintain zero tolerance for any involvement of minors on our Platform. Any account suspected of belonging to a minor will be immediately suspended and reported to relevant authorities.

3. Platform Services and Limitations

3.1 Discovery Platform: VelvetElite is exclusively a discovery platform. We provide a venue for Creators to showcase their online entertainment services and for Members to discover and express interest in connecting with Creators.

3.2 No Offline Services: The Platform explicitly prohibits the advertisement, solicitation, or facilitation of any offline or in-person services. All services advertised on the Platform must be online-only entertainment services.

3.3 No Payment Facilitation Between Users: VelvetElite does not process, facilitate, or act as escrow for any payments between Members and Creators. The Platform only charges Creators for subscription fees to maintain their profiles and for promotional boost services.

3.4 Independent Contractors: Creators are independent individuals and are not employees, agents, or representatives of VelvetElite. We do not exercise control over the services Creators offer, and any engagement between Members and Creators occurs outside the Platform and at their own risk.

3.5 External Communications: Users are solely responsible for any communications or arrangements made outside the Platform. VelvetElite bears no responsibility for the conduct, safety, or outcomes of external interactions.

4. Account Registration and Security

4.1 Account Creation: To access certain features, you must create an account providing accurate, current, and complete information. You agree to update your information to maintain its accuracy.

4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorised use.

4.3 Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to the Platform or other users.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities. Violations may result in immediate account termination and reporting to law enforcement where applicable:

5.1 Illegal Content (Zero Tolerance)

• Child Sexual Abuse Material (CSAM) or any content sexualising minors
• Non-consensual intimate imagery ("revenge porn") or hidden recordings
• Content depicting rape, sexual assault, or non-consensual acts (real or simulated)
• Bestiality or zoophilia content
• Necrophilia content
• Incest content (real or simulated)
• Human trafficking, exploitation, or coercion
• Extreme violence or torture in sexual contexts

5.2 Illegal Services

• Advertising, soliciting, or facilitating escort services, in-person meetings, or any offline services
• Prostitution or solicitation of sexual services
• Promoting or referencing illegal drugs or controlled substances
• Using the Platform for money laundering or other financial crimes

5.3 Platform Abuse

• Harassing, threatening, stalking, or intimidating other users
• Creating fake accounts or impersonating another person
• Attempting to circumvent age verification measures
• Uploading AI-generated, deepfake, or synthetic content
• Scraping, harvesting, or collecting user data without authorisation
• Interfering with the Platform's operation or security
• Violating any applicable laws or regulations

6. Content Standards

6.1 Age-Verified Content: VelvetElite permits adult content for verified creators. All users must pass age verification through AgeVerif before accessing the Platform.

6.2 Legal & Consensual: All content must be legal, consensual, and feature only verified adults (18+). Content involving minors is strictly prohibited and will be reported to authorities.

6.3 Moderation: We employ both automated and manual content moderation. Content that violates our standards will be removed, and accounts may be suspended or terminated.

6.4 Content Ownership: You retain ownership of content you submit but grant us a licence to use, display, and distribute such content in connection with Platform operations.

7. Fees, Payments, and Subscriptions

7.1 Creator Subscriptions: Creators must maintain an active subscription to list their profiles on the Platform. Subscription fees are charged in accordance with the selected plan.

7.2 Promotional Boosts: Creators may purchase promotional boosts to increase their profile visibility. These are optional add-on services.

7.3 Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your account settings.

7.4 VAT: All prices are displayed inclusive of VAT where applicable. VAT will be charged in accordance with UK tax regulations.

7.5 Payment Processing: Payments are processed securely through our third-party payment processor. Billing descriptions on your statement will appear discreetly.

8. Refund Policy

8.1 Cooling-Off Period: In accordance with the Consumer Rights Act 2015, you have a 14-day cooling-off period from the date of purchase to request a refund for subscription services, provided you have not used the service.

8.2 Waiver of Cooling-Off Rights: By using the Platform's services immediately after purchase, you acknowledge and agree that you waive your right to cancel within the cooling-off period.

8.3 Boost Purchases: Promotional boost purchases are non-refundable once activated.

8.4 Refund Requests: To request a refund, contact support@velvetelite.com with your order details.

9. Intellectual Property

9.1 Platform IP: All intellectual property rights in the Platform, including but not limited to trademarks, logos, software, and content, are owned by or licensed to VelvetElite.

9.2 Limited Licence: We grant you a limited, non-exclusive, non-transferable licence to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Platform will be uninterrupted, secure, or error-free.

We do not endorse, guarantee, or assume responsibility for any Creator, their services, or any interactions between users. Any reliance on Creator profiles or communications is at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, VelvetElite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

Our total liability shall not exceed the amount you have paid to us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless VelvetElite and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also bring proceedings in your country of residence.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on the Platform. Continued use after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
